Rasmussen Law Office brings experienced resources to bear in the Creditors’ Rights and Secured Transactions area.  Teri Rasmussen is a Past Chair of the Ohio State Bar Association Banking, Commercial and Bankruptcy Law Committee, as well as of the Columbus Bar Association Financial Institutions Committee.  She brings a unique combination of courtroom skills in state, federal, and bankruptcy court, together with deal experience in transactional matters such as loan documentation, negotiation, and restructuring.

·         Lead counsel to banks, other secured lenders, and lessors, in structuring, negotiating and documenting scores of commercial loan and lease transactions ranging from hundreds of thousands to tens of millions of dollars, preparing and negotiating Credit Agreements and Loan and Security Agreements, Promissory Notes, Mortgages and Assignments of Rent, Guarantees, Lockbox Agreements, Subordination Agreements and Intercreditor Agreements, Tenant Estoppel Affidavits, Landlord Waivers, and related documentation, in asset-based, real estate, line of credit, and all business asset transactions.

 

·         Lead counsel to banks and other secured lenders in hundreds of commercial and business collection actions ranging from a few thousand dollars to multi-million dollar obligations, including replevins, foreclosures, and money judgment actions, as well as with respect to post-judgment action such as judgment debtor examinations, wage and non-wage garnishments, and cash drawer executions and business bankruptcy proceedings

 

·         Represented principle secured lender and multiple other secured creditors and equipment lessors in complex landmark Cardinal Industries, Inc. Chapter 11 bankruptcy case and the more than 250 related single-asset real estate partnership bankruptcies over the four year life of the matter.

 

·         Extensive representation of banks, secured creditors, and lessors in Chapter 11 business bankruptcy proceedings, addressing cash collateral and adequate protection issues, relief from stay proceedings, §363 sales, lease assumption/assignment, plan of reorganization claim treatment, confirmation and disclosure statement hearings, abandonments, proof of claim filings, and other litigated contested matters and adversary proceedings.

 

·         Lead counsel to banks and other secured lenders, as well as debtor companies, in numerous workouts and turnaround situations, preparing and negotiating scores of Forbearance Agreements, Reamortization Agreements, amended and restated loan documentation, and other workout related documentation.

 

·         Special Counsel to the Ohio Attorney General’s Office for Department of Development loan documentation.

 

·         Special Counsel to the Ohio Attorney General’s Office for revenue Recovery Services and Collection Enforcement.
